Registration of the merger of KOPEX SA with its subsidiaries: KOPEX Machinery SA, Zabrzańskie Zakłady Mechaniczne - Maszyny Górnicze sp. z o.o., Fabryka Maszyn i Urządzeń TAGOR SA, KOPEX Hydraulika Siłowa sp. z o.o.

Registration of an increase in the KOPEX SA share capital to PLN 74,332,538 through the issue of 6,700,000 series C shares carried out in November 2009.

Name of the group was changed from ZZM–KOPEX Group into Grupa KOPEX /the KOPEX Group/. A new logo, which enabled the customers to identify and remember the KOPEX Group trademark was implemented.

In the half of the year, according to the strategy implemented, KOPEX SA as a Company listed on the Warsaw Stock Exchange became a dominant entity and leader of the ZZM-KOPEX Group. It resulted from accomplishing the reverse takeover process of ZZM SA by KOPEX SA. Prior to this occurrence, ZZM SA had to sell KOPEX SA shares and KOPEX SA was obliged to offer Series B shares in a public trade directed to ZZM SA shareholders. On August 3, there were registered 47,739,838 shares Series B to raise share capital to PLN 67,632,538 and divided into 67,632,538 common bearer shares, of nominal value PLN 1.00 each, including 19,892,700 common bearer shares series A and 47,739,838 common bearer shares series B.

This day was a milestone in KOPEX SA privatization process, since National Sugar Company sold all the KOPEX SA shares held to the branch investor- Zabrzańskie Zakłady Mechaniczne SA (ZZM SA) /Zabrze Mechanical Works Joint Stock Company/ based in Zabrze and this company became a majority shareholder, holding 65.06 percent shares. The share acquisition resulted from a public invitation to acquisition of shares by a strategic investor which announced in advance. The Grupa ZZM-KOPEX /the ZZM-KOPEX Group/ was set up, the biggest industrial group in Poland, in the mining machinery and equipment sector. The Integrated group potential enabled capability of complex offering goods and services, placing the ZZM-KOPEX Group in the strict lead of the biggest global mining companies.

The company Krajowa Spółka Cukrowa SA /National Sugar Company/ acquired 1,285,929 shares to the bearer at nominal value amounting to PLN 10 per share and became a majority shareholder, holding 64.64 % shares in the share capital of KOPEX SA with registered seat in Katowice. National Sugar Company was entitled to 1,285,929 votes at the General Meeting of Shareholders of KOPEX SA, making 64.64 % of the total number of votes.

By the decision of Sąd Rejonowy w Katowicach /Katowice based District Court/ the Company’s name was changed - from Przedsiębiorstwo Eksportu i Importu KOPEX into KOPEX Spółka Akcyjna (KOPEX SA) /KOPEX Joint Stock Company/.

The Company was entered in the National Court Register under the number 0000026782

The Company's debut on the Warsaw Stock Exchange. Upon entering the Warsaw Stock Exchange new prospects and chances of capital development opened up for the Company.

The Resolution No. 142 of the Council of Ministers opened the way to Warszawska Giełda Papierów Wartościowych Wartościowych SA /Warsaw Stock Exchange/ to KOPEX.

The Company was entered in the Commercial Register under the number RHB 10375.

By virtue of Ordinance, No. 267/Or.93, of the Minister of Industry and Trade the enterprise was transformed into a Single-Entity Partnership of State Treasury under the name of Przedsiębiorstwo Eksportu i Importu KOPEX Spółka Akcyjna /KOPEX Export – Import Joint Stock Company/

As a result of reorganization made, a State-owned enterprise under the name of Przedsiębiorstwo Eksportu i Importu KOPEX / KOPEX Export and Import Company/ based in Katowice was set up.

KOPEX obtained an authorization for conducting business in the foreign trade on export and import of mining and drilling machinery and equipment, on the exclusivity basis, as well as execution of turnkey mining projects.

KOPEX was entered in the Register of State-owned Enterprises. The Company started the activity as a General Contractor for complete mining facilities /projects and equipment abroad.

Foundation of a State-owned enterprise under the name of Przedsiębiorstwo Budowy Zakładów Górniczych za Granicą - KOPEX /KOPEX Overseas Mine Construction Company/ with headquarters in Katowice.
